Employee Contract

Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (the “Agreement”) is entered into on date listed below by and between:

Raptor Digital Marketing, LLC

AND  

Employee:  (listed below)

  1. Purpose

The Employee acknowledges that during the course of their employment with Raptor Digital Marketing, LLC, they may have access to certain confidential and proprietary information. The purpose of this Agreement is to ensure that such information remains confidential.

  1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" includes but is not limited to, client information, marketing strategies, pricing, financial information, and any other data or information related to Raptor Digital Marketing, LLC that is not publicly known.

  1. Obligations of the Employee

The Employee agrees to:

   - Keep all Confidential Information confidential and not disclose it to any third party without prior written consent from Raptor Digital Marketing, LLC.

   - Use the Confidential Information solely for the purpose of fulfilling their responsibilities with Raptor Digital Marketing, LLC.

   - Take reasonable precautions to protect the confidentiality of the Confidential Information.

  1. Exceptions

Confidential Information does not include information that:

   - Is publicly known at the time of disclosure or becomes publicly known through no fault of the Employee.

   - Was rightfully known by the Employee prior to disclosure by Raptor Digital Marketing, LLC.

  1. Duration

This Agreement and the obligations herein shall survive for a period of 18 months following the termination (voluntary or otherwise) of the Employee’s employment with Raptor Digital Marketing, LLC.

  1. Return of Materials

Upon termination of employment, the Employee agrees to return any documents, materials, or data containing Confidential Information.

  1. Governing Law

This Agreement shall be governed by the laws of the State of Utah, as Utah has unique standards on restrictive covenants and confidentiality agreements, and compliance with these standards is intended.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date listed below.
